1. Agreement to Terms
These Terms of Service ("Terms") form a legally binding agreement between you ("you" or "your") and Leeaia LTD ("Leeaia", "we", "us", or "our") governing your access to and use of https://www.leeaia.com and any related services, products, software, content, consultations, automations, AI systems, workshops, or other offerings we provide (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
2. Eligibility
You represent and warrant that:
- you are at least 18 years old;
- you have the legal capacity to enter into binding contracts; and
- if you are acting on behalf of a company or other organisation, you have authority to bind that entity to these Terms.
3. Our Services
Leeaia LTD provides AI automation services, consulting, training, software-related services, AI systems, workshops, strategy support, and related technology services for businesses.
Any specific project scope, deliverables, timelines, service levels, or commercial terms may be set out in a separate proposal, quote, statement of work, service agreement, or invoice. If there is any conflict between these Terms and a separately signed agreement, the separately signed agreement will take precedence for that specific engagement.
4. Accounts and Access
If any part of the Services requires an account, login, or access credentials, you agree to:
- provide accurate, current, and complete information;
- keep your details updated;
- keep your credentials secure and confidential;
- notify us promptly of any unauthorised access or security breach;
- accept responsibility for activity that occurs under your account where caused by your acts or omissions.
We may suspend or terminate access where we reasonably believe account information is inaccurate, security is compromised, or these Terms have been breached.
5. Communications
By contacting us or providing your contact details, you agree that we may contact you about your enquiry, booking, project, account, or our Services.
Where required by law, we will obtain the necessary consent before sending marketing communications by email or text to individuals.
You can opt out of marketing communications at any time by:
- clicking unsubscribe in marketing emails;
- replying STOP to marketing text messages; or
- contacting matthew@leeaia.com.
6. Acceptable Use
You agree not to:
- use the Services in violation of any applicable law or regulation;
- upload, transmit, or distribute malicious code, harmful content, or unlawful material;
- attempt to gain unauthorised access to systems, accounts, or networks;
- interfere with or disrupt the integrity, performance, or security of the Services;
- impersonate any person or entity or misrepresent your affiliation;
- use automated means to scrape, harvest, or extract data from the Services without our prior written consent;
- use the Services to send spam or unlawful communications;
- infringe our rights or the rights of any third party.
7. Intellectual Property
7.1 Our intellectual property
Unless otherwise stated in writing, all intellectual property rights in the Services, website, branding, software, materials, text, graphics, logos, layouts, content, and underlying technology belong to Leeaia LTD or its licensors.
7.2 Limited licence
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the website and Services for your own internal business use in accordance with these Terms.
You must not, unless we expressly agree in writing:
- copy, reproduce, modify, or create derivative works from the Services;
- reverse engineer, decompile, or attempt to extract source code from any software we provide, except where prohibited from restricting this by law;
- use our content, branding, or materials for commercial reuse;
- remove copyright, trademark, or proprietary notices.
7.3 Your materials
You retain ownership of content and materials you provide to us. You grant us a non-exclusive licence to use, store, reproduce, and process those materials to the extent reasonably necessary to provide the Services, improve delivery, maintain records, and comply with legal obligations.
8. Fees and Payment
8.1 Fees
Fees for paid Services will be set out in a proposal, quote, order form, statement of work, invoice, or other written agreement. Unless otherwise stated, all fees are in GBP (£) and exclusive of VAT or other applicable taxes.
8.2 Payment terms
Unless otherwise agreed in writing:
- invoices are payable in advance of service delivery;
- payments must be made by bank transfer, debit card, credit card, or another approved payment method;
- you are responsible for any bank charges, currency conversion fees, or similar charges applied by your provider.
8.3 Late payment
If you fail to pay on time, we may:
- charge interest and/or compensation on overdue commercial debts to the extent permitted by applicable law;
- suspend work, access, or delivery until payment is received;
- recover reasonable costs of collection where permitted.
8.4 Refunds
Unless otherwise agreed in writing, payments are non-refundable. Any refund we choose to issue will be at our discretion and assessed case by case. No refund is due for completed Services, delivered workshops, strategy sessions, software access, digital products, or custom development work already carried out.
9. Confidentiality
Each party may receive confidential information from the other in connection with the Services. Each party agrees to keep the other's confidential information confidential and not disclose it except:
- to personnel, contractors, or advisers who need to know it and are under confidentiality obligations;
- where disclosure is required by law, regulation, or court order;
- where the information is already lawfully public through no fault of the receiving party.
10. AI and Automation Disclaimer
Some of our Services involve AI systems, automations, integrations, data-driven processes, and generated outputs.
You acknowledge and agree that:
- AI and automated outputs may contain errors, omissions, biases, inaccuracies, or unexpected results;
- outputs depend on the quality, completeness, and suitability of the source data, prompts, workflows, integrations, and third-party tools used;
- you are responsible for reviewing, validating, approving, and deciding whether to rely on any output, recommendation, automation, or generated content before use;
- we do not guarantee that any AI or automation solution will achieve a particular business, financial, legal, operational, or performance result.
11. Disclaimer of Warranties
To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis.
We do not guarantee that:
- the Services will be uninterrupted, error-free, or secure;
- defects will be corrected;
- the Services will be free from viruses or harmful components;
- any content, advice, output, or information will be complete, accurate, or suitable for your specific purposes.
Nothing in these Terms excludes any warranty or right that cannot lawfully be excluded under applicable law.
12. Limitation of Liability
12.1 Excluded losses
To the fullest extent permitted by law, Leeaia LTD will not be liable for any:
- indirect, incidental, special, exemplary, or consequential loss;
- loss of profit, revenue, business, opportunity, data, contracts, goodwill, or anticipated savings;
- interruption of business;
- losses arising from third-party tools, hosting, software, APIs, platforms, or communications providers.
12.2 Liability cap
To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with the Services or these Terms shall not exceed:
- the total fees paid by you to us for the specific Services giving rise to the claim in the 12 months immediately preceding the event giving rise to liability; or
- £100,
whichever is greater.
12.3 Nothing excluded unlawfully
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
13. Indemnity
You agree to indemnify and hold harmless Leeaia LTD, its directors, officers, employees, contractors, and agents from and against losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- your breach of these Terms;
- your misuse of the Services;
- your infringement of any third-party rights;
- any materials, data, or instructions you supply to us that infringe rights or breach law.
14. Suspension and Termination
14.1 By you
You may stop using the Services at any time. If you need to terminate a paid engagement, any cancellation rights will be governed by the specific agreement for that engagement.
14.2 By us
We may suspend or terminate access to the website or Services at any time where we reasonably believe:
- you have breached these Terms;
- payment is overdue;
- continued provision would create security, legal, or commercial risk; or
- we are required to do so by law.
14.3 Effect of termination
On termination:
- your right to use the affected Services ends immediately;
- accrued rights and obligations remain in force;
- provisions intended to survive termination will continue, including those relating to intellectual property, confidentiality, payment, disclaimers, liability, and dispute resolution.
15. Third-Party Services
Our Services may integrate with, depend on, or link to third-party products, websites, APIs, platforms, or software. We are not responsible for the availability, security, or performance of third-party services, and your use of them may be subject to separate third-party terms.
16. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or the Services shall be governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to resolve any dispute or claim arising out of or in connection with these Terms or the Services.
17. General
17.1 Entire agreement
These Terms, together with our Privacy Policy and any signed project-specific agreement, form the entire agreement between you and us in relation to the relevant Services.
17.2 Severability
If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.
17.3 Waiver
Any failure or delay by us in enforcing any provision of these Terms shall not amount to a waiver of that provision or any other right.
17.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations where reasonably necessary, including as part of a merger, restructuring, or sale of business.
17.5 Force majeure
We are not liable for delay or failure to perform caused by circumstances beyond our reasonable control, including natural disasters, network failures, power outages, cyber incidents, labour disputes, acts of government, or failures of third-party providers.
17.6 Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on our website with a revised “Last Updated” date. Continued use of the Services after the updated Terms are published constitutes acceptance of the revised Terms.
